Capital call securitization has emerged as a distinctive frontier in fundfinance, sitting at the intersection of subscription credit facilities and structured finance technology.

It involves:

a) pooling portfolios of capital call or subscription facilities—short‑term revolving credit lines to private funds secured on investors’ uncalled commitments—and

b) then transferring them to a bankruptcy‑remote special purpose vehicle (SPV), which then

c) issues tranched notes or similar securities to capital‑markets investors, with coupons serviced from capital call proceeds and facility repayments.

These structures are being used to recycle bank balance sheets, obtain capital relief and broaden the investor base for fund finance exposures.

Benefits

Proponents argue that securitisation can transform relatively low‑risk, short‑dated facilities into rated instruments by applying diversification, subordination and other credit‑enhancement tools adapted from CLO and broader ABS practice, potentially offering attractive risk‑adjusted returns to institutional investors while enabling bank originators to expand their subscription line businesses.

Risks

However, rating‑agency and practitioner analysis underscores non‑trivial structural and modelling challenges, including the revolving and short‑term nature of many facilities, portfolio heterogeneity, information‑disclosure limits, and the need to calibrate eligibility criteria, advance rates and required credit enhancement to GP and LP diversification, LPA terms and other qualitative factors.

Systemic Concerns for Regulators

From a system‑wide perspective, the growth of capital call securitisations alongside subscription lines and NAV facilities inserts an additional layer of leverage and complexity into the intermediation chain between ultimate limited partners and underlying private‑asset exposures, raising familiar questions about risk transfer, incentive alignment and the opacity of aggregate leverage across banks, structured vehicles and leveraged institutional LPs.
